These Terms of Service (the "Terms") are a contract between the business or organization using Ben AI ("you", "your", the "Customer") and moreHUMAN.org ("moreHUMAN.org", "we", "us"). They cover Ben AI, the dashboard, the Slack app, connected apps, automations, pages and every related service we provide (together, the "Service"). The Acceptable Use Policy is part of these Terms.
1. Agreeing to these Terms
You agree to these Terms by clicking to accept them, by paying for a plan, or by using the Service. If you accept on behalf of a business or organization, you confirm that you have the authority to bind it, and "you" means that business.
You must be at least 18 years old and able to form a binding contract to use the Service. The Service is for business use, not for personal, family or household purposes.
We keep a record of each acceptance: which version was accepted, by whom, when, and from which network address and browser. We may ask you to accept an updated version before you continue using the Service.
2. What Ben AI is, and what it is not
Ben AI is software. It uses artificial intelligence models and tools to do work that you and your team ask for: reading and replying in Slack, drafting copy and documents, building pages, running automations on a schedule, connecting to apps you authorize, and, where you turn it on, operating a browser or computer on your behalf. It acts on your instructions and on its reasonable interpretation of them.
moreHUMAN.org is a technology provider. We are not your employee, contractor, agency, consultant, adviser, broker, fiduciary or partner. Ben AI does not have professional qualifications, a license or insurance of its own, and does not replace people who do.
AI output is generated by probabilistic models. It can be inaccurate, incomplete, out of date, biased, inappropriate for your use, or not what you meant. It may be similar to output other customers receive. It is not reviewed by a person at our end before it reaches you. You accept this as the nature of the Service.
3. Your account, your workspace and your team
Ben AI works inside the Slack workspace you connect it to. Every instruction, message, approval and setting that comes from a member of that workspace, or from a person signed in to your dashboard, is treated as coming from you. You decide who in your workspace may give Ben AI work and who may approve what it does, and you are responsible for keeping that up to date.
You are responsible for all activity under your account and workspace, for the people you give access to, and for keeping your sign-ins, API keys and connected-app credentials secure. Tell us at once if you believe your account has been used without permission.
If you give the Service a credential, a key, a payment method or an account to use, you confirm that you are allowed to use it for that purpose.
4. Instructions, approvals and actions taken on your behalf
Ben AI acts on what it is told. When it is uncertain or an action carries risk (spending money, sending to people outside your workspace, publishing, changing data in a connected app), it asks for approval in Slack or in the dashboard. An approval is your decision. When you or your team approve an action, you accept that action and its results, including any errors or omissions in what was approved.
Some work runs without a person watching: automations on a schedule, standing permissions you have granted, and tasks you asked for that complete later. You are responsible for the instructions you give for unattended work, for reviewing what it produces, and for pausing or stopping it when it is not doing what you want. You can pause any automation, revoke any standing permission and disconnect any app at any time from the dashboard.
You must provide oversight proportionate to the consequences of the work. The more an action can cost or change, the more closely you need to look before approving it and after it runs.
You are responsible for every message sent, post published, purchase made, record changed, page put live and transaction completed on your behalf through the Service, whether you approved it individually, approved it in advance, or it followed from your instructions.
5. Reviewing the work before you rely on it
Everything Ben AI produces is a draft until you have reviewed it. Before you rely on, publish, send, print, run ads with or act on any output, you must check it for accuracy, suitability, legality and fit with your brand. This applies with particular force to marketing copy and advertising claims, prices, offers and terms you show to customers, anything about health, money, law or safety, statements about other people or companies, and anything that uses a name, logo, photo, trademark or other material that may belong to someone else.
We are not responsible for mistakes, omissions, brand or tone problems, claims, pricing errors, infringing material or other defects in output that you accepted, published, sent or used. If something Ben AI produced is wrong, the remedy is to fix it or ask Ben AI to redo it, not a claim against us.
6. No professional advice
Nothing Ben AI produces or does is legal, tax, accounting, financial, investment, insurance, medical, employment, immigration or other professional advice, and you must not treat it as such or pass it on as such. Output on these subjects is general information that may be wrong for your situation. Decisions in these areas need a qualified professional who is responsible to you. moreHUMAN.org does not carry professional liability (errors and omissions) cover for the content of output, and provides none to you.
7. Connected apps, AI models and other third-party services
Ben AI can connect to apps and services you use (for example email, calendars, documents, CRMs, payment processors, websites), through connection providers and the apps' own interfaces. When you connect an app, you authorize Ben AI to read and act in that app within the permissions you grant. The app stays your account, under its own terms, prices, limits and privacy policy, and you are responsible for complying with them. You can revoke a connection at any time; do so when you no longer want Ben AI to use it.
We do not control third-party services and are not responsible for what they do, for their availability, errors, rate limits, fees, changes, security or data handling, or for what they do with data once the Service has sent it to them at your direction. Where a connected app charges you (fees, usage, overages), that is between you and the app.
The Service uses AI models and infrastructure from third-party providers. We choose and may change these providers. Your content is sent to them to produce your work, under business terms that do not allow them to train on it. We are not responsible for their errors or outages beyond what Section 15 provides.
8. Browser and computer use
Where you turn it on, Ben AI can operate a hosted browser or computer to carry out tasks on websites and in applications. It does this at your direction and at your risk. You may only direct it to sites, accounts and services you are allowed to use for that purpose, and in ways their terms allow. You must not direct it to bypass sign-ins, CAPTCHAs, access controls, rate limits or security measures, to misrepresent who is acting, or to take actions you would not be permitted to take yourself.
Web pages and documents can contain text that tries to redirect an AI system ("prompt injection"). The Service takes steps against this, but no protection is complete. You accept this risk when you use browser and computer features, and you should not give the Service access to accounts, funds or data where a misdirected action would be serious.
Ben AI will not trade securities or cryptocurrency, move money between accounts, or complete a purchase, transfer or financial commitment without an approval from you. We may refuse, limit or stop any browser or computer task at our discretion.
9. Pages, payments and outbound messages
Ben AI can build and host pages for you, including pages that take payments through your own payment processor account. You are the seller and merchant of record for everything sold through them. You are responsible for the page's content, offers, prices, claims, taxes, refunds, deliveries, customer service, consumer-protection and e-commerce law, and your payment processor's terms. moreHUMAN.org is not a payment provider, a party to those sales, or responsible for disputes about them. A page goes live only when you publish it or have told the Service it may publish pages of that kind on its own.
Where Ben AI sends email, messages, posts, calls or other communications to people outside your workspace on your behalf, you are the sender. You confirm that you have the consents, lists and legal basis the law requires for each message (including laws such as CAN-SPAM, the TCPA, GDPR, PECR, CASL and their equivalents), that you honour opt-outs and suppression lists, and that your messages are truthful and not misleading. Where the law or a platform requires disclosing that a message was generated by, or a conversation is with, an AI system, you are responsible for that disclosure.
10. Your content, your output and your data
You own the material you give the Service (your "Input": messages, files, Business Brain content, connected-app data and instructions) and, as between you and us, you own the work it produces for you (your "Output"). To the extent we hold any rights in Output, we assign them to you when the Output is delivered. Because Output is generated, other customers may receive similar or identical output, and you have no claim against them or us for that.
You give us a worldwide, non-exclusive licence to host, copy, process, transmit and display your Input and Output as needed to provide, secure, support and improve the Service for you, and as the law requires. We do not use your Input or Output to train AI models, ours or anyone else's, and we do not sell it. What we store, who can see it, how long we keep it and how to delete it is described on our Trust page, which is part of these Terms.
You are responsible for your Input: that you have the right to give it to us and to let the Service use it as you direct, that it does not infringe anyone's rights or break any law, and that it contains personal data only where you are allowed to process that data this way. Where you are a controller of personal data under data-protection law, we act as your processor for that data and our Trust page and data-processing terms apply.
11. Our service and intellectual property
The Service, its software, models, prompts, skills, templates, designs, documentation and everything we provide other than your Output stays ours or our licensors'. You get a limited, non-exclusive, non-transferable right to use the Service for your business while you have a plan and follow these Terms. You must not copy, modify, reverse engineer, scrape, resell, sublicense or build a competing product from the Service, use it to train or benchmark competing AI models, or remove any notices. Feedback you give us may be used freely without obligation.
12. Plans, credits, billing and cancellation
Plans are billed monthly in advance through our payment processor and renew automatically until cancelled. Each plan includes a monthly allowance of credits for the work the Service does. You can buy more credits, and you can turn on auto-reload, which charges the card on file for the next pack only when the allowance runs out; nothing beyond your plan is charged unless you chose a top-up or auto-reload. Prices exclude taxes, which are added where they apply.
- Cancel anytime with one click from the Billing page of your dashboard. Your plan ends at the end of the billing period you have paid for; nothing further is charged. You keep access until then.
- Payments are non-refundable and there are no refunds or credits for partly used periods, unused allowance or unused purchased credits, except where the law requires one.
- Credits have no cash value, cannot be transferred and cannot be redeemed for money. Purchased credits stay available while you have an active plan and lapse when it ends.
- If a payment fails, we will retry and tell you. New work pauses after a grace period until payment succeeds; we may cancel the plan if it does not.
- We may change prices or plans with at least 30 days' notice. A change applies from your next renewal after the notice, and you can cancel before then.
13. Suspension and ending the Service
We may suspend or limit the Service, or part of it, at once if we reasonably believe your use breaks these Terms or the Acceptable Use Policy, creates risk or harm to anyone, or is unpaid. We will tell you why where it is reasonable to do so. Either of us may end these Terms at any time: you by cancelling your plan; we by giving you 30 days' notice, or at once for a material breach you do not fix within 14 days of being told, or where required by law or a provider.
When the Service ends, your access stops at the end of the paid period, standing permissions and automations stop, and connections to your apps are revoked on our side (you should also revoke them in each app). You can export your data before then from the dashboard. We delete your data on the schedule described on the Trust page. Sections that by their nature should survive (payment of amounts due, ownership, disclaimers, limitation of liability, indemnity, disputes) survive the end of these Terms.
14. Disclaimers
THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, THAT OUTPUT WILL BE ACCURATE, COMPLETE, LAWFUL, ORIGINAL OR SUITABLE FOR ANY PURPOSE, THAT ANY ACTION TAKEN ON YOUR BEHALF WILL HAVE THE RESULT YOU INTENDED, OR THAT THE SERVICE WILL PRODUCE ANY PARTICULAR BUSINESS RESULT, REVENUE, LEADS, RANKINGS OR SAVINGS. EXAMPLES, CASE STUDIES AND ESTIMATES ARE ILLUSTRATIONS, NOT PROMISES. SOME JURISDICTIONS DO NOT ALLOW SOME OF THESE DISCLAIMERS, SO SOME MAY NOT APPLY TO YOU.
15. Limitation of liability
TO THE FULLEST EXTENT THE LAW ALLOWS, NEITHER WE NOR OUR OFFICERS, EMPLOYEES, CONTRACTORS, SUPPLIERS OR LICENSORS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, SALES, CUSTOMERS, GOODWILL, REPUTATION, BRAND VALUE, DATA OR BUSINESS OPPORTUNITY, OR THE COST OF SUBSTITUTE SERVICES, ARISING FROM OR RELATED TO THE SERVICE, ANY OUTPUT, OR ANY ACTION TAKEN OR NOT TAKEN ON YOUR BEHALF, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF WE WERE TOLD SUCH DAMAGES WERE POSSIBLE.
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS, TOGETHER, WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITS APPLY TO THE FULLEST EXTENT THE LAW ALLOWS AND DO NOT LIMIT LIABILITY THAT CANNOT BE LIMITED BY LAW, SUCH AS LIABILITY FOR FRAUD, OR FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE WHERE THE LAW DOES NOT ALLOW IT TO BE EXCLUDED. THE PRICE OF THE SERVICE REFLECTS THIS ALLOCATION OF RISK.
16. Your indemnity
You will defend, indemnify and hold harmless moreHUMAN.org and our officers, employees, contractors and suppliers from and against any claim, demand, loss, liability, damage, fine, cost and expense (including reasonable legal fees) brought by a third party or a regulator that arises from or relates to: your Input; your Output and your use of it, including anything you published, sent, sold or advertised; actions taken on your behalf that you directed, approved or allowed to run; your pages, products, services, messages and marketing; your connected apps and the credentials and data you gave the Service; your breach of these Terms, the Acceptable Use Policy or the law; or a dispute between you and your customers, team, suppliers or anyone else. We may take over the defence of a claim at our expense; you will cooperate and will not settle a claim that admits fault on our part or imposes obligations on us without our written consent.
17. Changes to the Service and to these Terms
We improve the Service continually and may add, change or remove features, models, providers and limits. We will not materially reduce the core Service you pay for during a paid period without notice.
We may update these Terms and the Acceptable Use Policy. For material changes we will give at least 30 days' notice in the dashboard or by email before they take effect, and may ask you to accept the new version before you continue. The version and date are shown at the top of each document, and earlier versions are available on request. Using the Service after a change takes effect means you accept it; if you do not, cancel your plan before then.
18. Governing law and disputes
These Terms are governed by the laws of the State of Delaware and the federal laws of the United States, without regard to conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
If you have a dispute with us, contact support@morehuman.org first; we will try to resolve it informally within 30 days. If we cannot, any dispute arising from or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator, conducted in English and, unless we agree otherwise, by video or written submissions. Judgment on the award may be entered in any court with jurisdiction. Either party may instead bring an individual claim in small-claims court, and either may seek injunctive relief in court to protect intellectual property or confidential information.
YOU AND WE EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO TAKE PART IN A CLASS, COLLECTIVE OR REPRESENTATIVE ACTION. CLAIMS MAY BE BROUGHT ONLY ON AN INDIVIDUAL BASIS. You may opt out of this arbitration agreement by emailing support@morehuman.org with your business name and the words "arbitration opt-out" within 30 days of first accepting these Terms. Any claim must be brought within one year of when it arose, where the law allows that limit.
19. General
These Terms, the Acceptable Use Policy, the Trust page and any order or plan details you accept are the entire agreement between you and us about the Service and replace any earlier discussions. If any part is found unenforceable, the rest stays in force and the part is read as narrowly as needed. Our not enforcing a term is not a waiver of it. You may not assign these Terms without our written consent; we may assign them to an affiliate or a successor to our business. We are not liable for delays or failures caused by events outside our reasonable control. You will comply with export-control and sanctions laws and confirm you are not on any restricted-party list. Notices to you go to the email on your account or the dashboard; notices to us go to support@morehuman.org. Nothing in these Terms creates a partnership, joint venture, agency or employment relationship.
